At the next meeting of the UzLiDeP faction in the Legislative Chamber of the Oliy Majlis, draft laws aimed at improving the activities of payment system operators and payment organizations, increasing the responsibility of conformity assessment bodies, providing benefits to entrepreneurs, and other related issues were thoroughly reviewed.

Deputies first held an in-depth discussion in the second reading of the draft law aimed at improving the activities of limited liability companies.

This document is aimed at regulating the establishment, activities, reorganization, and liquidation of limited liability companies, as well as the management of such companies and the relations among their participants.

The draft law provides that companies may engage not only in activities requiring licenses but also in those requiring other types of permits and notification procedures. It also sets out the rules for opening branches and representative offices of companies.

In addition, the draft introduces new legal norms related to protecting the rights of minority shareholders in company management, as well as provisions concerning majority shareholders.

The draft law also introduces new legal norms concerning affiliated persons of the company, the conclusion of transactions with them, the resolution of disputes arising from such transactions, as well as the fiduciary responsibility of members of the supervisory board and the management bodies of the company.

During the discussions, it was particularly noted that the proposals put forward by faction members during the preparation of the draft law for the second reading had been taken into account and reflected in the text, ensuring its refinement.

At the same time, faction members Dilmurod Artiqov, Saydullo Azimov, and others questioned the initiators of the draft law regarding specific provisions envisaged in some articles of the draft law. They also expressed their own proposals and opinions on the matter. The responsible officials provided detailed clarifications on the issues raised.

Deputies, taking into account that the adoption of the draft law would further strengthen the guarantees of the rights and legitimate interests of company participants and introduce a modern corporate governance system into company operations, expressed their support for it.

The draft law, reviewed at the meeting, aims to increase the responsibility of conformity assessment bodies and provide benefits to entrepreneurs who voluntarily recall their products.

This draft law introduces amendments and additions to the Civil Code, as well as to the Laws “On consumer protection”, “On standardization”, and “On technical regulation”. These changes aim to increase the responsibility of conformity assessment bodies and encourage business entities to recall products that do not meet technical regulation requirements voluntarily.

During the discussion of the draft law, faction member Mukhsinjon Kholmukhamedov expressed his views, emphasizing that this document serves to protect consumer rights, safeguard their life and health, and establish effective legal mechanisms by encouraging the participation of entrepreneurs in the process of withdrawing low-quality products from the market.

Other issues included on the meeting agenda were also reviewed, and relevant decisions were adopted.
